Lead Partner Agreement
This Agreement (“Agreement”) is entered as of ________________, 2006 (the “Effective Date”) by and between Broadband National., a Delaware corporation whose address is 2770 Indian River Blvd, Suite 501, Vero Beach, FL 32960, facsimile (772) 316-1004 (“BN”) and the company named on this page (“Vendor”). (Each individually, a “Party”, together, the “Parties”.)

The Parties hereby agree as follows:

1. Description of Agreement
Lead Partner is a provider of certain products or services through its retail stores, catalogs or at it’s own website on the World Wide Web. (“Vendor Products”) BN owns and operates the Partner Lead Referral Program, through which it provides Lead Partner access to potential customers and Vendor supplies BN leads for compensation in return.

2. Payment Terms and Fees
Lead Referral Fee: BN shall pay Lead Partner a lead referral Fee of $10.00 for leads inquiring for T1 circuits or higher which is due and payable within thirty (30) days after the conclusion of the month. In addition to the referral fee paid for leads submitted to BN, a monthly residual commission will be paid on sales resulting from the supplied leads. There will be a minimum conversion of 5% on all leads that are valid for payment. The 5% commission is paid on received bounties from the carriers based on the monthly recurring charges to the customer. Exhibit A.*

3. Lead Partner Obligations
Lead Partner shall be solely responsible for the legitamcy of the leads/inquires submitted to BN for payment.

4. Term and Termination
This Agreement shall commence on the Effective Date and continue for an initial term of 52 weeks. This Agreement shall automatically renew unless either Party provides written notice to the other thirty (30) days prior to the expiration of the initial term or any renewal term.

IN WITNESS WHEREOF, the Parties have caused their duly authorized representatives to execute this Agreement as of the Effective Date.

EXHIBIT A
Lead Referral Fee $10 (Business looking for broadband and telecom services utilizing T1 or higher specifications. Leads are bounty eligible based on a installation to sales conversion of 5% (20 submitted leads results in 1 sold/installed customer)

Monthly Residual Income
Monthly residual payments will be based on the monthly recurring charges that the end customer pays the carrier. A $900.00 monthly broadband or telecom solution will result in monthly commission to the Vendor of $45. All commissions are based on payments received by Broadband National for the life of the customer.

Revenue Reports
Every 30 days, BN shall send an electronic copy of the revenue report to the designated Vendor account manager contact.
